The rules and conditions that govern your use of the LUMEN platform and services.

Acceptance of Terms

By accessing or using the LUMEN platform, website, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, you must immediately discontinue use of the Services. Your continued use following any update to these Terms constitutes acceptance of the revised version.

These Terms are entered into between you (or the organization you represent) and AFSV Group, the operator of the LUMEN platform, registered and operating under applicable law.

Platform Description

LUMEN is an operational intelligence platform designed for healthcare organizations operating within insurance reimbursement ecosystems. The platform provides:

  • Real-time claims monitoring and lifecycle tracking across insurance programs
  • Reimbursement visibility, cash flow forecasting, and payment intelligence
  • Suspended claim identification and operational workflow management
  • Multi-insurer connector ecosystem for unified insurance operations
  • Role-based dashboards for healthcare operational teams and administrators
  • Alerts, reports, and anomaly detection for claims and reimbursement workflows

LUMEN is an operational intelligence tool and is not a medical device, clinical decision support system, or licensed insurance administrator. It does not submit claims, negotiate contracts, or act as an agent on behalf of any insurer or healthcare provider.

Eligibility & Account Registration

To use LUMEN, you must be at least 18 years of age and have the legal authority to enter into binding contracts under applicable law. The Services are intended for business use by healthcare organizations, diagnostic centers, and their authorized staff.

Organization Accounts

LUMEN is provided on an organizational basis. Your organization is responsible for all activity that occurs under its account, including actions taken by invited users. Administrators must ensure all users are authorized employees or contractors of the organization.

Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at security@lumen.afsvgroup.com if you suspect unauthorized access to your account.

Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. LUMEN reserves the right to suspend accounts with false or misleading information.

License & Permitted Use

Subject to your compliance with these Terms and payment of applicable fees, AFSV Group grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your organization's internal healthcare insurance operations.

You may use the Services to:

  • Monitor and manage your organization's insurance claims workflows
  • Track reimbursements and identify operational bottlenecks
  • Generate reports and operational insights for internal business purposes
  • Onboard authorized team members within your organization
  • Integrate with connected insurance programs via LUMEN's connector ecosystem

This license does not include any right to sublicense, resell, or provide access to the Services to third parties outside your organization.

Prohibited Conduct

You agree not to engage in any of the following while using the Services:

  • Reverse engineer, decompile, or attempt to extract source code from the platform
  • Use the Services to transmit spam, malware, or unauthorized automated queries
  • Scrape, crawl, or extract data from the platform by automated means without written consent
  • Attempt to gain unauthorized access to any system, account, or data
  • Use the Services to process data in violation of applicable healthcare privacy laws
  • Misrepresent your identity, organization, or authorization to use the Services
  • Interfere with or disrupt the integrity or performance of the Services or infrastructure
  • Use the Services for any purpose that violates applicable law or regulations
  • Resell, sublicense, or commercially exploit the Services without written authorization from AFSV Group
  • Submit fraudulent, fabricated, or manipulated healthcare claims data through the platform

Violations of this section may result in immediate suspension or termination of your account and may be reported to relevant regulatory authorities.

Data & Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using LUMEN, you acknowledge that you have read and understood our Privacy Policy.

With respect to personal data processed through the Services:

Data Controller vs. Processor

Your organization acts as the data controller for personal data submitted to LUMEN. AFSV Group acts as a data processor under your instructions, as defined under GDPR Article 4. A Data Processing Agreement (DPA) is available upon request and forms part of the contractual relationship for organizational accounts.

Data Location

Data is stored and processed within the European Economic Area (EEA). Any transfers outside the EEA are governed by appropriate safeguards including Standard Contractual Clauses (SCCs) as required under GDPR Chapter V.

Your Responsibilities

You are responsible for ensuring you have the legal basis to submit personal data to LUMEN and that all data subjects have been appropriately informed in accordance with applicable law.

Healthcare Data Obligations

LUMEN processes operational data related to healthcare insurance workflows. You acknowledge and agree to the following:

  • You will only submit data to LUMEN that your organization is authorized to process under applicable healthcare and privacy law.
  • LUMEN is an operational tool and does not provide medical, legal, or financial advice. All decisions made based on LUMEN insights remain the sole responsibility of your organization.
  • You will comply with all applicable regulations including the GDPR and any applicable health data regulations issued by relevant competent authorities.
  • You will maintain appropriate internal policies governing access to and use of LUMEN by your staff, including access controls and audit logging as required by your compliance obligations.

AFSV Group does not independently verify the accuracy or completeness of healthcare data submitted by organizations. You are solely responsible for the accuracy of your operational data.

Intellectual Property

All rights, title, and interest in and to the LUMEN platform — including its software, source code, user interface, design, trademarks, logos, documentation, and proprietary algorithms — are and remain the exclusive property of AFSV Group and its licensors.

Nothing in these Terms grants you any ownership rights in the Services. The LUMEN name, logo, and associated marks are trademarks of AFSV Group and may not be used without prior written permission.

You retain all ownership rights to data and content you submit to the Services. By submitting data, you grant AFSV Group a limited license to process and use that data solely to provide the Services to you, as described in our Privacy Policy.

Payments & Subscriptions

Access to certain features of LUMEN is provided on a subscription basis. Subscription plans, pricing, and billing cycles are specified in your Order Form or on the LUMEN pricing page.

Billing

Subscription fees are billed in advance on the applicable cycle (monthly or annual). All fees are exclusive of applicable taxes, which will be added where required by law.

Renewals

Subscriptions automatically renew at the end of each billing period unless cancelled at least 14 days before the renewal date. Cancellation requests must be submitted through your account settings or by contacting billing@lumen.afsvgroup.com.

Refunds

Fees paid are non-refundable except where required by applicable consumer protection law or where LUMEN fails to meet its agreed Service Level Agreement (SLA) obligations. Annual plan pro-rata refunds may be considered at AFSV Group's sole discretion.

Non-payment

Failure to pay fees may result in suspension of your account. Accounts suspended for non-payment may be reactivated upon payment of all outstanding amounts.

Availability & Service Levels

AFSV Group will use commercially reasonable efforts to maintain platform availability of 99.5% uptime measured monthly, excluding scheduled maintenance windows and events outside our reasonable control.

Scheduled maintenance will be communicated at least 48 hours in advance via in-platform notification or email. We aim to schedule maintenance during off-peak hours (weekends and late-night local time).

In the event of unplanned downtime, AFSV Group will:

  • Acknowledge incidents within 1 hour of detection during business hours
  • Provide status updates at regular intervals until resolution
  • Publish a post-incident report for outages exceeding 2 hours

Availability SLA credits, where applicable, will be detailed in your subscription agreement or Enterprise Order Form.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

AFSV Group does not warrant that:

  • The Services will be uninterrupted, error-free, or fully secure
  • Any data or operational insights provided will be accurate, complete, or current
  • The Services will meet all requirements specific to your organization or jurisdiction
  • Any defects or bugs will be corrected within a specific timeframe

Healthcare insurance data displayed through LUMEN is sourced from connected insurer systems. AFSV Group does not guarantee the accuracy of data received from third-party insurance portals and is not liable for discrepancies arising from insurer-side errors.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE ITALIAN AND EU LAW, AFSV GROUP AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of revenue, profits, data, business opportunity, or goodwill
  • Damages arising from unauthorized access to or alteration of your data
  • Damages caused by reliance on operational insights or reports generated by LUMEN

In any case, AFSV Group's total cumulative liability for any claims arising under these Terms shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability for gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless AFSV Group, its directors, employees, partners, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Services in violation of these Terms
  • Your breach of applicable law, including healthcare data regulations
  • Any data you submit to the Services that infringes on third-party rights
  • Any misrepresentation made by you in connection with use of the Services

AFSV Group reserves the right to assume exclusive control of any matter subject to indemnification, in which case you agree to cooperate fully with our defence.

Termination

Either party may terminate these Terms and the associated Services with 30 days written notice. AFSV Group may suspend or terminate your access immediately and without notice if:

  • You materially breach these Terms and fail to remedy the breach within 14 days of notice
  • You engage in conduct that is fraudulent, unlawful, or harmful to the platform or other users
  • You fail to pay outstanding fees after a 10-day grace period
  • Required by applicable law or regulatory authority

Upon termination, your right to access the Services immediately ceases. You may request an export of your organization's data within 30 days of the termination date. After this window, data may be deleted in accordance with our data retention policy.

Sections covering intellectual property, limitation of liability, indemnification, and governing law shall survive termination of these Terms.

Governing Law & Disputes

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law provisions. Where applicable, EU regulations including the GDPR shall take precedence.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties.

If the dispute cannot be resolved within 30 days of written notice, it shall be submitted to the exclusive jurisdiction of the competent courts. Mandatory consumer protection provisions and applicable dispute resolution mechanisms shall apply where required by law.

AFSV Group also participates in the EU Online Dispute Resolution platform available at ec.europa.eu/consumers/odr.
